Terms of Service

These Terms of Service ("Terms") govern your access to and use of WareGent, a business-management software product operated by SL Prime Enterprises ("WareGent", "we", "us"). By creating an account or using WareGent you agree to these Terms. If you do not agree, do not use the service.

1. What WareGent is (and isn't)

WareGent is a software tool that helps sellers manage their business — products, stock, orders, GST invoices, payments, shipping, and an optional online storefront. WareGent is not a marketplace, not a seller of goods, and not a payment aggregator. When you sell through WareGent, you are the seller and merchant of record for your customers; WareGent only provides the software.

2. Eligibility & account

You must be at least 18 and legally able to run a business in India. You are responsible for keeping your login credentials secure and for all activity under your account. Provide accurate business details; we may ask for KYC (e.g. name, phone, PAN/GSTIN) and may suspend accounts with false or incomplete information.

5. Payments & money flow — important

Buyer payments for your goods are collected directly into your own account (your UPI ID or your own connected payment gateway). WareGent never holds, receives, or controls buyer funds for your sales, and therefore cannot refund, reverse, or guarantee any buyer payment. Any payment dispute, chargeback, non-delivery or refund is strictly between you and your buyer / your payment provider. WareGent only records the transaction for your convenience.

You must not use WareGent to list, sell, promote, or facilitate anything illegal or prohibited, including but not limited to:

You also must not attempt to hack, overload, scrape, or misuse the platform, or use it to send unsolicited or unlawful communications.

7. Suspension & takedown

We may suspend or remove your account, any storefront, or any listing — with or without notice — if we reasonably believe these Terms are breached, if we receive a valid complaint or legal request, or to protect users or the platform. Where practical we will give notice and a chance to fix the issue.

8. Your content & data

You own your business data and content. You grant WareGent a limited licence to host and process it to provide the service. You can export your data anytime (Settings → export). We take reasonable measures to protect data but you are responsible for keeping your own backups of critical records. Our handling of personal data is described in the Privacy Policy.

9. Third-party services

WareGent integrates with third parties (e.g. Amazon, courier partners, payment providers). Your use of those is subject to their terms, and we are not responsible for their availability, actions, fees, or data practices.

10. Disclaimers & limitation of liability

WareGent is provided "as is", without warranties of any kind. To the maximum extent permitted by law, WareGent and SL Prime Enterprises are not liable for any indirect, incidental, or consequential loss, lost profits or data, or for disputes, non-delivery, or losses arising between you and your buyers or third parties. Our total liability for any claim is limited to the subscription fees you paid to us in the three (3) months before the claim.

11. Indemnity

You agree to indemnify and hold WareGent and SL Prime Enterprises harmless from any claim, loss, or demand (including legal fees) arising from your use of the service, your products or sales, or your breach of these Terms or of any law.

12. Grievances & complaints

To report a store, a listing, or any content, or to raise a grievance, contact our Grievance Officer at waregentcode@gmail.com. We aim to acknowledge complaints within 48 hours and resolve valid ones within the timelines required by applicable law (including the Information Technology (Intermediary Guidelines) Rules).

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified in-app or by email. Continued use after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by and construed in accordance with the laws of India, and the competent courts in India shall have exclusive jurisdiction over any dispute, subject to applicable law.
